Terms of Service

Welcome to Field Scribe, a construction scheduling software powered by artificial intelligence. These Terms of Service ("Terms") govern your access to and use of the Field Scribe software, services, and website (collectively, the "Service"), provided by Field Scribe, Inc. ("Field Scribe", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Definitions

  • "AI Features" means the large language models (LLMs) or other machine learning or artificial intelligence features of the Service.
  • "Customer" or "you" means the individual or entity using the Service.
  • "Customer Content" means any data, information, or material provided or submitted by you to the Service, including Inputs.
  • "Input" means Customer Content submitted to the AI Features (including in the form of prompts or queries).
  • "Output" means the output generated and returned by the AI Features based on the Inputs.
  • "Service" means the Field Scribe construction scheduling software, services, and website.
  • "Usage Data" means data related to your use of the Service, such as technical logs, account and login data, and other data used for analytics and service improvement.

2. Data Rights & AI Training

2.1. License to Improve

To enable the continuous improvement of our AI Features, you grant Field Scribe a non-exclusive, worldwide, royalty-free, irrevocable, sublicensable, and transferable license to use, reproduce, and otherwise exploit your Customer Content to train, tune, and improve our AI models and the Service.

2.2. De-identification Requirement

We are committed to protecting your privacy and the confidentiality of your data. Any Customer Content used for training our AI models will be aggregated and de-identified to ensure that it cannot be used to identify you, your projects, or any other individuals or entities.

2.3. Opt-Out Mechanism

We understand that some of our enterprise clients may have specific requirements regarding data privacy and security. We offer an opt-out mechanism for enterprise-tier clients who do not wish for their Customer Content to be used for AI model training. 3. Input vs. Output Ownership

3.1. Input Ownership

You retain all rights, title, and interest in and to your Customer Content, including all Inputs. We do not claim any ownership rights in your Customer Content.

3.2. Output Rights

We grant you all right, title, and interest in and to the Outputs generated by the Service based on your Inputs. You are free to use the Outputs for any lawful purpose, subject to these Terms.

3.3. Similarity Disclaimer

You acknowledge that due to the nature of machine learning, the AI Features may generate similar or identical Outputs for different users who provide similar or identical Inputs. You agree that you will not have any rights in or to any Outputs generated for other users, and we will not have any liability to you for any similarity between your Outputs and the outputs of other users.

4. Allocation of Risk: The "Hallucination" Clause

Important: AI-generated outputs are not verified or guaranteed to be accurate. You are solely responsible for reviewing all outputs before acting on them in a real-world construction context.

4.1. No Warranty for Accuracy

The Outputs generated by our AI Features are the result of machine learning processes and are not tested, verified, endorsed, or guaranteed to be accurate, complete, or current. You acknowledge that the AI Features may produce "hallucinations"—inaccurate, incomplete, or unreliable outputs. You agree that you will not rely on the Outputs as a substitute for professional human judgment, and that you are solely responsible for any decisions or actions you take based on the Outputs.

4.2. Human-in-the-Loop Requirement

You are required to review and validate any Output before acting on it. The Service is intended to be used as a tool to assist with construction scheduling, not to replace the professional judgment and expertise of licensed professionals. You are solely responsible for ensuring the accuracy, completeness, and appropriateness of any Output before using it in a real-world construction project.

5. Future-Proofing for Regulations

5.1. Transparency Obligations

In compliance with emerging regulations such as the EU AI Act, we are committed to transparency. We will always notify you when you are interacting with an AI Feature within the Service.

5.2. Severability and Adaptation

We reserve the right to modify or discontinue any AI Features or data handling processes to comply with new state, federal, or international laws and regulations. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

5.3. Prohibited Use Policy

You agree not to use the Service for any of the following prohibited activities:

  • To make automated hiring decisions.
  • For biometric tracking or surveillance.
  • For any purpose that is discriminatory, harassing, harmful, or unethical.
  • To infringe on the rights of any third party.
  • To develop, train, or improve any competing AI or machine learning models.
  • To represent any Output as being an original work or a wholly human-generated work.
  • For any high-risk activities where the failure of the Service could lead to death, personal injury, or severe physical or environmental damage.

6. Specialized Indemnity

6.1. Output Indemnity

We will defend you against any third-party claim that your use of the Service or its Outputs infringes their intellectual property rights, and we will pay all damages and costs finally awarded against you, provided that you: (a) promptly notify us in writing of the claim; (b) allow us to control the defense and settlement of the claim; and (c) provide us with all reasonable assistance. This indemnity will not apply if the alleged infringement arises from: (i) your use of the Service or Outputs in violation of these Terms; (ii) your failure to use the Service in accordance with our instructions; or (iii) your modification of the Outputs.

6.2. Third-Party Model Terms

The AI Features of the Service may be powered by third-party AI models, such as those provided by OpenAI or Anthropic. By using the Service, you agree to be bound by the terms of use and usage policies of our third-party AI model providers. A list of our current third-party providers and their terms can be found in Exhibit A to these Terms.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of Liability

IN NO EVENT WILL FIELD SCRIBE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

9. Governing Law

These Terms and any dispute or claim arising out of, or related to, them, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule.
