Terms of Service

Welcome to Field Scribe, a construction scheduling software powered by artificial intelligence. These Terms of Service ("Terms") govern your access to and use of the Field Scribe software, services, and website (collectively, the "Service"), provided by Field Scribe, Inc. ("Field Scribe", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Definitions

"AI Features" means the large language models (LLMs) or other machine learning or artificial intelligence features of the Service.
"Customer" or "you" means the individual or entity using the Service.
"Customer Content" means any data, information, or material provided or submitted by you to the Service, including Inputs.
"Input" means Customer Content submitted to the AI Features (including in the form of prompts or queries).
"Output" means the output generated and returned by the AI Features based on the Inputs.
"Service" means the Field Scribe construction scheduling software, services, and website.
"Usage Data" means data related to your use of the Service, such as technical logs, account and login data, and other data used for analytics and service improvement.

2. Data Rights & Service Processing

2.1. Permission to Deliver the Service

You grant Field Scribe a non-exclusive permission to host, store, copy, transmit, display, and process your Customer Content only as necessary to provide, maintain, and secure the Service and deliver the features you authorize. This includes processing by service providers needed for authentication, billing, notifications, and enabled features, as described in our Privacy Policy. This permission does not transfer ownership of your content or grant a general, irrevocable right to exploit it for unrelated purposes. You are responsible for having authority to submit and share your content, including information about others.

2.2. AI Inference, Embeddings, and Local Metrics

Enabled external AI features send relevant content to OpenAI for inference (generating outputs) or embeddings (numeric representations used for search). This can include report text, uploaded images or PDF content, project and task metadata, safety narratives, and chat prompts for extraction, risk analysis, semantic search, chat, and digest summaries. Some report and digest processing occurs automatically after the required personal opt-in. Free text and images may contain personal or confidential information; we do not guarantee that it is removed before transmission.

Inference and embeddings are distinct from model training. The current Service does not operate a Customer Content model-training program or an external benchmarking feed, and this permission does not authorize those uses. Our current product policy is not to sell Customer Content or personal information or use it for third-party advertising. We do compute local project metrics and store application usage analytics in our own database to operate and improve the Service. Provider handling is subject to the provider's terms, policies, and applicable configuration; these Terms do not promise a verified enterprise agreement, provider retention period, or provider training restriction, or assert that provider training occurs.

2.3. Personal Opt-In and Revocation

Every signed-in user can enable or disable external AI processing for their own account in AI Features settings; this choice is not limited to enterprise clients. Administrator, employer, or teammate consent does not substitute for your personal opt-in. External project AI requires current consent and project ownership or active membership. Automatic report AI requires the submitter's current consent and project access; AI digest summaries require the recipient's current consent and access. Chat and digest prompts exclude reports and linked safety narratives from nonconsenting authors. Uploaded document extraction requires the uploader's authorization. Shared project and schedule metadata can be processed for a consenting user with the required access.

Disabling AI blocks new external processing under your consent, including queued work that rechecks eligibility before sending. Requests already transmitted cannot be recalled, and revocation does not automatically delete stored content, outputs, embeddings, or logs. Local regression forecasts and Monte Carlo simulations do not call external AI services or require external AI opt-in. See the Privacy Policy for retention and contact details.

3. Input vs. Output Ownership

3.1. Input Ownership

You retain all rights, title, and interest in and to your Customer Content, including all Inputs. We do not claim any ownership rights in your Customer Content.

3.2. Output Rights

We grant you all right, title, and interest in and to the Outputs generated by the Service based on your Inputs. You are free to use the Outputs for any lawful purpose, subject to these Terms.

3.3. Similarity Disclaimer

You acknowledge that due to the nature of machine learning, the AI Features may generate similar or identical Outputs for different users who provide similar or identical Inputs. You agree that you will not have any rights in or to any Outputs generated for other users, and we will not have any liability to you for any similarity between your Outputs and the outputs of other users.

4. Allocation of Risk: The "Hallucination" Clause

Important: AI-generated outputs are not verified or guaranteed to be accurate. You are solely responsible for reviewing all outputs before acting on them in a real-world construction context.

4.1. No Warranty for Accuracy

The Outputs generated by our AI Features are the result of machine learning processes and are not tested, verified, endorsed, or guaranteed to be accurate, complete, or current. You acknowledge that the AI Features may produce "hallucinations"—inaccurate, incomplete, or unreliable outputs. You agree that you will not rely on the Outputs as a substitute for professional human judgment, and that you are solely responsible for any decisions or actions you take based on the Outputs.

4.2. Human-in-the-Loop Requirement

You are required to review and validate any Output before acting on it. The Service is intended to be used as a tool to assist with construction scheduling, not to replace the professional judgment and expertise of licensed professionals. You are solely responsible for ensuring the accuracy, completeness, and appropriateness of any Output before using it in a real-world construction project.

5. Feature Transparency and Changes

5.1. AI Processing Disclosures

AI Features settings and the Privacy Policy describe external AI processing, including automatic processing after opt-in. Local mathematical forecasts and simulations are distinct from external AI requests. You must review AI-generated outputs before use; the presence of an AI feature or disclosure does not certify regulatory compliance.

5.2. Severability and Adaptation

We reserve the right to modify or discontinue any AI Features or data handling processes to comply with new state, federal, or international laws and regulations. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

5.3. Prohibited Use Policy

You agree not to use the Service for any of the following prohibited activities:

To make automated hiring decisions.
For biometric tracking or surveillance.
For any purpose that is discriminatory, harassing, harmful, or unethical.
To infringe on the rights of any third party.
To develop, train, or improve any competing AI or machine learning models.
To represent any Output as being an original work or a wholly human-generated work.
For any high-risk activities where the failure of the Service could lead to death, personal injury, or severe physical or environmental damage.

6. Specialized Indemnity

6.1. Output Indemnity

We will defend you against any third-party claim that your use of the Service or its Outputs infringes their intellectual property rights, and we will pay all damages and costs finally awarded against you, provided that you: (a) promptly notify us in writing of the claim; (b) allow us to control the defense and settlement of the claim; and (c) provide us with all reasonable assistance. This indemnity will not apply if the alleged infringement arises from: (i) your use of the Service or Outputs in violation of these Terms; (ii) your failure to use the Service in accordance with our instructions; or (iii) your modification of the Outputs.

6.2. Third-Party Model Terms

The current external AI features use OpenAI. Provider processing is subject to the provider's applicable terms, policies, and service configuration. You must use these features consistently with applicable usage policies. Exhibit A links to the current AI provider's published terms and policies; other operational providers and the information they receive are described in the Privacy Policy. These links are not a representation that a particular enterprise contract or data-processing agreement has been verified.

7. SMS / Text Messaging Terms

The Service includes an optional SMS program for operational crew dispatch notifications only. To opt in, you must enter your own name and mobile number on the public SMS consent page, affirmatively check the consent box, and verify control of that number with the one-time code sent by text. Adding a number to an account or crew roster, or having a supervisor provide it, does not grant SMS consent.

Message frequency varies based on your work schedule, typically up to one dispatch message per workday. Messages are operational job-site communications, not marketing.
Message and data rates may apply depending on your mobile carrier plan.
Opt out at any time by replying STOP to any message. Reply START to re-subscribe and HELP for assistance, or contact support@fieldscribe.tech.
Consent is voluntary and is not a condition of employment or purchase.
Carriers are not liable for delayed or undelivered messages.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

IN NO EVENT WILL FIELD SCRIBE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

10. Governing Law

These Terms and any dispute or claim arising out of, or related to, them, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule.
